1. OWNERSHIP OF WEBSITE AND ACCEPTANCE OF THESE TERMS OF USE

1.1 The following terms and conditions of use (hereinafter “Terms of Use”) apply to the website “www.amazingspecialtycoffee.com” provided by AMA Vietnam Trading & Marketing Co,.Ltd. The Site is the property of AMA Vietnam Trading & Marketing Co,.Ltd. For the purposes of these Terms of Use, user shall mean any person accessing and/or using the Site (hereinafter, the “User”).

BY USING THE SITE, USERS ACCEPT THESE TERMS OF USE; IF A USER DOES NOT AGREE TO THESE TERMS OF USE, THAT USER MUST NOT USE THE SITE.

1.2 AMA Vietnam Trading & Marketingreserves the right to change and to modify these Terms of Use at any time, in its sole discretion. Therefore, Users are advised to read these Terms of Use on a regular basis in order to check for changes. The use of the Site following the posting of any changes will imply acceptance of these changes by Users. Subject to compliance to these Terms of Use, AMA Vietnam Trading & Marketinggrants to any User a personal, non-exclusive, non-transferable and limited right to access and use the Site.

4. PURCHASES; OTHER TERMS AND CONDITIONS

There is no legal claim to the availability and deliverability of the products advertised.

4.2 AMA Vietnam Trading & Marketingreserves the right in due course to make orders under sales campaigns subject to fulfillment of certain individual conditions.

4.3 By forwarding your online order, you are making AMA Vietnam Trading & Marketingan offer to conclude a legally binding contract. Immediately on receipt of your order, you will receive an automated e-mail in which the receipt of your offer will be confirmed, thus concluding the contract.

4.4 All goods remain the property of AMA Vietnam Trading & Marketinguntil full payment of the purchase price has been received and all claims resulting from the sale have been settled. You will not be entitled to dispose of the goods before transfer of ownership. If third parties should institute claims for the goods, you are obliged to inform AMA Vietnam Trading & Marketingimmediately. If, before concluding the contract, AMA Vietnam Trading & Marketingfinds that the ordered product is not available, we will immediately inform you about this and reimburse any payments already received. If, after concluding a contract, AMA Vietnam Trading & Marketingshould find that the product ordered is not available as a result of late or incorrect delivery (including delivery shortfalls) by our suppliers (where AMA Vietnam Trading & Marketingis not responsible), unexpectedly and despite the fact that we have concluded a contract for delivery of the goods in question with the supplier, we reserve the right to withdraw from the contract. In this case AMA Vietnam Trading & Marketingwill immediately inform you about the non-availability of the product you have ordered and immediately reimburse any payments already received from you.

4.5 AMA Vietnam Trading & Marketingis entitled to reject any offers made by you without citing reasons. AMA Vietnam Trading & Marketingparticularly reserves the right to reject an offer where: the delivery address is outside Vietnam.

4.6 AMA Vietnam Trading & Marketingdoes not exclude that additional terms and conditions may apply to purchases of goods or services and to specific portions or features of the Site, including contests, promotions and other similar initiatives. By this reference, User agrees that these terms are included in the Terms of Use. User agrees and undertakes to comply with such additional terms and conditions. If there is a conflict between these Terms of Use and the terms and conditions applicable to a specific portion of the Site, or for any service offered on or through the Site, the terms and conditions applicable thereto will prevail for the use of that portion of the Site or of that specific service.

4.7 AMA Vietnam Trading & Marketingobligations, if any, with regards to its services and products are governed solely by the agreements pursuant to which such services and products are provided; therefore, nothing on this Site may be construed to alter such agreements.

5. ACCOUNT, PASSWORD AND SECURITY

5.1 3.1 Registration with AMA Vietnam Trading & Marketingis free of charge. By registering user become a member. However, registration and membership do not give rise to any costs or obligation to purchase on user’s part. There is no legal entitlement to the conclusion of a contract as a result of registering or becoming a member.

5.2 The data requested during the registration process and during the life of the membership must be provided fully and correctly, including in particular a fully functional e-mail address, as a precondition for membership. Where the data provided to AMA Vietnam Trading & Marketingchange, the member is obliged to update account with immediate effect.

5.3 Members are obliged to keep their password confidential and to prevent any unauthorised access to their member account. Members are obliged to inform AMA Vietnam Trading & Marketingwith immediate effect if there is any indication that a member account has been or might be abused by a third party.

5.4 AMA Vietnam Trading & Marketingwill delete member accounts that have been inactive for a period of 6 months or whose holders can no longer be reached at the e-mail address stated.

5.5 Members can cancel their membership of AMA Vietnam Trading & Marketingwith immediate effect at any time free of charge. A cancellation may take the form of an e-mail sent to services@43factory.coffee.

5.6 AMA Vietnam Trading & Marketingcan duly cancel any member’s membership at any time, subject to a notice period of 14 days.

5.7 AMA Vietnam Trading & Marketingmay block, restrict or terminate a member’s membership without adherence to this notice period if there is reason to believe that the member has violated legal regulations, the rights of third parties, these GTCs or the shop regulations. When choosing a measure, AMA Vietnam Trading & Marketingtakes into account the legitimate interests of the member concerned, especially whether there are any indications that the member is not responsible for the violation.

5.8 User may not use anyone else’s AMA Vietnam Trading & MarketingID, password or account without the express written permission and consent of the rightful identity owner. AMA Vietnam Trading & Marketingwill not be liable for any loss or damage arising from the failure to comply with these obligations on the part of User.

6. PRIVACY

10. INDEMNITY

10.1 User agrees and undertakes to indemnify and hold harmless 43 FACTORY COFFEE ROASTER, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates from any demand, loss, liability, claim or expense (including attorney’s fees), arising in any way out of the use of the Site by User.

11. VIOLATION OF THE TERMS OF USE

11.1 AMA Vietnam Trading & Marketingreserves the right to disclose any information regarding Users (including their identity) if such disclosure is necessary in connection with any investigation or complaint regarding the use of the Site by a User, or to identify, contact or bring legal actions against persons who may harm or interfere with the rights of AMA Vietnam Trading & Marketingor of visitors to or users of the Site, including AMA Vietnam Trading & Marketingcustomers. AMA Vietnam Trading & Marketingreserves the right to disclose at any time any information which may be required to comply with any applicable law, regulation, legal process or governmental request. AMA Vietnam Trading & Marketingreserves also the right to disclose Users’ information in the event applicable laws currently in force require or permits such disclosure, including the exchange of information with other companies and organizations for fraud protection purposes.

12. GOVERNING LAW, JURISDICTION

12.1 All matters related and/or connected, also indirectly, to the access to and/or use of the Site, including any dispute, will be governed exclusively by the laws of Socialist Republic of Vietnam, with express exclusion of the application of any conflicts of laws provision. In addition, Users agree to: (i) the exclusive jurisdiction of the courts of Socialist Republic of Vietnam, with express exclusion of any other jurisdiction; (ii) the exclusive jurisdiction of The People’s Court of Danang City. Any claim under these Terms of Use must be brought within three (3) months after the cause of action arises, or such claim will be barred.

13. RESTRICTIONS

13.1 AMA Vietnam Trading & Marketingadministers and operates the Site from its location in the official company headquarters in Vietnam. AMA Vietnam Trading & Marketingreserves the right to restrict, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Site is void where prohibited by applicable provisions of law. Access to the Site from outside the territory of Socialist Republic of Vietnam is made on the initiative of Users who are solely responsible for complying with applicable local laws.
